Some more details on Adobe’s acquisition of Omniture (NSDQ: OMTR), from the SEC filing filed today, following the acquisition announcement earlier today.
—Name of the shell acquiring corp: Snowbird Acquisition Corporation
—Termination fee: $64 million that Omniture will have to pay
—No shop provision
—The directors of Omniture currently holding shares representing 9.6 percent of Omniture’s outstanding common stock have tendered their stock to Adobe.
